Cancellation policy

This Vendor Agreement (hereinafter referred to as the "Agreement") is a legally binding, electronically executed document, enforceable under the Information Technology Act, 2000, and its associated rules and amendments. This Agreement does not require a physical, electronic, or digital signature.

The Agreement becomes effective from the moment you accept it. By clicking "I Accept," you acknowledge and agree that such action constitutes your voluntary acceptance (hereinafter referred to as "Acceptance") of this Agreement. If you are not the authorized representative voluntarily accepting this Agreement, you must notify the Company at www.anextour.in/https://agency.anextour.in/ within 24 hours of accepting.

This Agreement is entered into by and between:

You, a competent legal entity (whether an individual, company, partnership, proprietorship, etc.) acting through your duly authorized representative, who has submitted a completed vendor registration form for the Company (hereinafter referred to as the "Vendor" or "You," which term shall, unless context dictates otherwise, include your heirs, subsidiaries, affiliates, successors, and permitted assigns), constituting the FIRST PARTY;

Optima Explore India Private Limited (Anex Tour India), a Private Limited Company registered under the Companies Act, 2013, with its registered office at 2nd Floor, Mansarover Building, 366, near Sultanpur Metro Station, Sultanpur, Delhi, 110030, represented by its duly authorized representative (hereinafter referred to as the "Company" and including its successors and permitted assigns unless the context requires otherwise), as the SECOND PARTY.

You (referred to as "You" and "Client" in this document) understand that Optima Explore India Private Limited (Anex Tour India) functions solely as a facilitator between you, your customers, and the Vendors. The responsibility to provide services as per your booking, transaction, or request lies with the Vendors. However, Optima Explore India Private Limited (Anex Tour India) will assist where possible and liaise with Vendors on your behalf. Upon acceptance of the following terms and conditions, you shall promote and sell the products of Optima Explore India Private Limited (Anex Tour India) for individuals or groups

Booking Process:

The Company acts solely as an authorized agent for Clients to incur expenses or costs on their behalf in arranging hotel services as authorized by you. You may make bookings through the website www.anextour.in/https://agency.anextour.in/ or via the contact center.

You must not make any misleading representation to your customer that differs from the product provided by Optima Explore India Private Limited (Anex Tour India). You are solely responsible for any other representations made. It is your duty to explain the Booking Terms and Conditions, including the Cancellation and Refund Policies of Optima Explore India Private Limited (Anex Tour India), to your customer and to ensure that they review and agree to these terms before booking. You are strictly prohibited from modifying the Booking Terms and Conditions, Cancellation Policy, or Refund Policy of Optima Explore India Private Limited (Anex Tour India).

Each booking must include required data, such as (i) the customer’s full name as per passport, (ii) father’s and mother’s names, (iii) customer’s age, (iv) customer’s address, (v) email ID and mobile number, (vi) selected package, (vii) travel dates, (viii) visa details, and (ix) insurance policy number, along with any additional information required. You must retain and provide any necessary documentation to Optima Explore India Private Limited (Anex Tour India) for booking confirmation.

For bookings made through the back office, you are responsible for submitting accurate customer details and required documentation within 24 hours. Optima Explore India Private Limited (Anex Tour India) will not confirm bookings until the physical documents are received. For bookings made through the online office or outlets, you must submit the documents at the time of booking. For online system bookings, you must upload all necessary documents with the booking request.

You must refrain from selling products other than those offered by Optima Explore India Private Limited (Anex Tour India) and avoid using the Company’s website for personal bookings or unauthorized transactions.

Optima Explore India Private Limited (Anex Tour India) reserves the exclusive right to make any adjustments to its inventory at any time without notice or consent from the Client or any third party, except for confirmed bookings made by the Client.

Optima Explore India Private Limited (Anex Tour India) also reserves the right to set rates for all inventory items, including any applicable taxes and government fees imposed by suppliers, except where rates have been confirmed for the Client`s bookings.

The Agent or Client is financially responsible for payments related to travel inventory, including any costs incurred from chargebacks, fraud, or refunds unless otherwise determined by Optima Explore India Private Limited (Anex Tour India).

Taxes and Incidentals Additional mandatory taxes may be payable locally, collected directly from the Customer by the hotel. Clients should ensure that Customers are informed about any potential local taxes. Customers should be prepared to cover these extra local charges. Optima Explore India Private Limited (Anex Tour India) has no control over incidental fees that may be applied by the hotel, such as those for air conditioning, a safe, a mini-fridge, parking, internet access, and similar amenities. Such fees must be paid directly to the hotel, and Optima Explore India Private Limited (Anex Tour India) is not responsible for incidental charges imposed by the hotel.

Renovations, Redecoration & Maintenance: Hotels may require updates and renovations to maintain standards, which may occur without prior notification. However, Optima Explore India Private Limited (Anex Tour India) will strive to minimize any related inconvenience. Normal signs of wear are expected and are beyond Optima Explore India Private Limited (Anex Tour India)`s control. The company cannot be held liable for any disturbances, inconveniences, or incidents in the hotel caused by the property’s management or staff.

Website Access for Optima Explore India Private Limited (Anex Tour India)

agency.anextour.in: You will receive a User ID and password upon logging into the website (www.anextour.in/https://agency.anextour.in/). You are solely responsible for keeping your login credentials secure and liable for any bookings made with them. Optima Explore India Private Limited (Anex Tour India) will not entertain claims regarding unauthorized access using your credentials.

Ensure that only authorized users access the Optima Explore India Private Limited (Anex Tour India) website for commercial bookings only. Bookings should be genuine, and you must adhere to the correct procedures specified by the site. Uploading malicious software, viruses, or files designed to manipulate the site is strictly prohibited. You will be held accountable for any damage caused to the company or customer due to such actions. Any system malfunctions that may lead to misuse or abuse should be promptly reported to Optima Explore India Private Limited (Anex Tour India) and the website’s System Administrator.

The company does not guarantee 24/7 website availability due to possible technical issues and does not commit to uninterrupted services. Clients should update static data on the Optima Explore India Private Limited (Anex Tour India) interface at least once a month to access the latest content and inventory. Optima Explore India Private Limited (Anex Tour India) is not liable for issues arising from outdated information.

Optima Explore India Private Limited (Anex Tour India) has taken reasonable steps to ensure the accuracy of product content. However, clients acknowledge that this content is provided by third-party suppliers, and Optima Explore India Private Limited (Anex Tour India) cannot verify every detail.

Payments: Optima Explore India Private Limited (Anex Tour India) books hotel services based on clients’ requirements and does not use these services for personal interests. The company charges a service or convenience fee in addition to the actual cost of accommodation. Clients are responsible for collecting the total package amount, inclusive of all taxes, and this includes both initial deposits and balance payments, as specified in the booking terms.

Optima Explore India Private Limited (Anex Tour India) will not confirm bookings for your customers until full package payment is received. If a credit facility is granted, bookings will only be confirmed up to the available credit, with payment due at least ten days prior to the package start date or the invoice due date, whichever comes first.

Clients agree to make payments for bookings and, in case of non-payment, Optima Explore India Private Limited (Anex Tour India) reserves the right to take action, including legal recourse. If payment is not made, Optima Explore India Private Limited (Anex Tour India) may cancel services, at the client’s risk, and will not be liable for any resulting litigation from customers due to the cancellation.

Clients are to hold any received payment from customers in trust, strictly for settling amounts due to Optima Explore India Private Limited (Anex Tour India). This amount must not be used for other purposes.

Clients must remit payment for bookings on time, regardless of whether payment has been collected from their own customers. At its discretion, Optima Explore India Private Limited (Anex Tour India) may limit bookings beyond the credit line if prepayment is not provided. Failure to meet credit terms allows Optima Explore India Private Limited (Anex Tour India) to void the rate or cancel the booking and apply deposits or letters of credit toward the payment.

PAYMENT OBLIGATIONS:

Optima Explore India Private Limited (Anex Tour India) reserves the right to apply part or all of the Floating Deposit or LOC toward any overdue or unpaid sums.

If payment is not received within one (1) day of the due date, access to the Optima Explore India Private Limited (Anex Tour India) system will be suspended until full payment is received.

The Client confirms that all INR or foreign exchange paid to the Company will be sourced from the traveler and within the yearly limit specified under the Liberalized Remittance Scheme (LRS). Additionally, the Client certifies compliance with RBI and FEMA regulations and agrees to provide necessary information or documentation as requested.

CREDIT FACILITY:

Optima Explore India Private Limited (Anex Tour India) may extend a credit facility based on the Client`s payment history, creditworthiness, and relationship with the Company. The Company reserves the right to withdraw this credit facility at any time without notice. Any services provided post-withdrawal will require advance payment.

SECURITY FOR PAYMENT OF DUES:

The Client will issue a cheque or other guarantee instruments in favor of Optima Explore India Private Limited (Anex Tour India) as security for dues. This security must always equal the amount payable or match the extended credit facility. The cheque should be drawn from the bank account linked to the KYC submitted to Optima Explore India Private Limited (Anex Tour India). The Client must maintain a minimum balance in this account, allowing the Company a lien on the amount. The Client cannot withdraw the minimum balance or close the account without prior approval.

ASSIGNMENT:

The Client may not assign rights under this Agreement to any third party without prior written consent from Optima Explore India Private Limited (Anex Tour India), which may terminate the Agreement if this clause is breached. Optima Explore India Private Limited (Anex Tour India) reserves the right to assign the Agreement, including all rights and obligations, to a third party as deemed fit.

REFUNDS:

The Client shall not promise or issue any refund to its customers on behalf of Optima Explore India Private Limited (Anex Tour India), as refunds are subject to the Company’s Booking Terms, Cancellation & Refund Policy. If the Client issues a refund, they do so at their own risk, and the Company may recover such amounts from other payments due to the Client.

Discount or deduction requests related to customer complaints must be submitted in writing within seven (7) days after service completion. Optima Explore India Private Limited (Anex Tour India) will evaluate these requests within 30 days. Any unilateral deductions by the Client will be considered a breach, and the Company may terminate this Agreement or adjust commission payments.

INDEMNIFICATION:

The Client agrees to indemnify Optima Explore India Private Limited (Anex Tour India), its employees, agents, and associates from liabilities or claims resulting from the Client’s negligence, untimely payment, or failure to comply with this Agreement’s terms. This indemnification also covers damages or vandalism caused by the Client’s customers to third-party properties.

INTELLECTUAL PROPERTY RIGHTS:

The Client agrees to use Optima Explore India Private Limited (Anex Tour India)’s Intellectual Property strictly within the guidelines provided, and only for selling its products. Any unauthorized usage or modification of these Trademarks, including using them in conjunction with other marks, is prohibited. Upon termination of this Agreement, the Client must cease all use of the Company’s Intellectual Property.

LIMITATION OF LIABILITIES:

Neither party shall be liable for indirect, incidental, punitive, or consequential damages, including losses in business, personal information, or privacy. Liability is limited to the amount paid or owed under this Agreement, excluding breaches of Confidentiality or Intellectual Property clauses.

COMPLIANCE WITH GOVERNMENT REGULATIONS:

The Client certifies compliance with all applicable laws, including the Information Technology Act and its associated data privacy rules. The Client must secure foreign exchange through authorized sources, following legal limits, and comply with FEMA regulations. The Client further undertakes to fulfill tax obligations and provide relevant documents upon request.

DISPUTE RESOLUTION AND ARBITRATION:

This Agreement is governed by Indian law, and disputes will be resolved in the exclusive jurisdiction of Delhi Courts. Parties agree to attempt resolution through discussions within 30 days of a dispute notice. If unresolved, disputes will be settled through arbitration per the Arbitration and Conciliation Act, 1996, in New Delhi. Arbitration will be conducted in English, with the award deemed final and binding.

FORCE MAJEURE:

In cases of unforeseen events beyond a Party’s control, including natural disasters, strikes, and governmental actions, performance obligations will be suspended. The Party declaring force majeure will notify the other Party in writing, stating the cause and end of the force majeure period.

ANTI-BRIBERY AND CORRUPTION:

Optima Explore India Private Limited (Anex Tour India) maintains a zero-tolerance approach to bribery and corruption. The Client warrants compliance with anti-bribery laws, including the Foreign Corrupt Practices Act and the UK Bribery Act. Breaches of this clause may lead to immediate contract termination.

INDEPENDENT ARRANGEMENT:

This Agreement is on a principal-to-principal basis and does not create any association or partnership between the parties. The Client acknowledges that they operate independently and are not agents or employees of Optima Explore India Private Limited (Anex Tour India).

DATA PROTECTION:

The Client will comply with applicable data privacy standards for all personal information, as required under Indian law, including the Information Technology Act and associated rules. Any breach must be immediately reported to Optima Explore India Private Limited (Anex Tour India).
